Service Agreement

These Terms of Use ("Terms") govern your access to and use of Aiming Records services, operated by Dopuu Ltd. By using our platform, you agree to these Terms. Please read them carefully.

Important: These are our general Terms of Use for website visitors. If you sign a distribution contract with Aiming Records, the specific terms in your individual agreement will apply to distribution services and may differ from or supplement these general terms.

1. Acceptance of Terms

By creating an account or using any of our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our services.

2. Eligibility

You must be at least 18 years old (or 16 with parental/guardian consent) to use our distribution services. By using our platform, you represent and warrant that:

  • You meet the age requirement and have legal capacity to enter into binding contracts
  • All information provided during registration is accurate and up-to-date
  • You own 100% of the rights to any music you upload, or have obtained proper clearances
  • Your use of our services complies with all applicable UK and international laws
  • You are not located in a country subject to UK or international sanctions
  • You have not been previously banned or terminated from Aiming Records or any major streaming platform
  • You are not using our services to circumvent a ban or suspension from another distributor
  • You have the legal right to work and receive payments in your declared country of residence

Business Accounts: If you are registering as a business entity (label, management company, etc.), you represent and warrant that:

  • You are authorized to enter into contracts on behalf of the entity
  • The entity is properly registered and in good standing in its jurisdiction
  • You have obtained all necessary rights from artists you represent
  • All artist agreements you have entered into are valid, enforceable, and do not conflict with our services

3. Account Registration

To use our distribution services, you must create an account. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Providing accurate and up-to-date information
  • Notifying us immediately of any unauthorized access
  • All actions taken by anyone accessing your account, whether authorized or unauthorized
  • Ensuring only authorized personnel have access to your account

One Account Per User/Entity: You may only create and maintain one account unless explicitly authorized by us in writing. Multiple accounts created by the same person or entity without authorization will result in immediate termination of all accounts and forfeiture of all earnings.

Account Sharing Prohibited: You may not share your account credentials with others, sell account access, or allow unauthorized third parties to use your account. Account sharing is grounds for immediate termination.

Account Security: You must use a strong, unique password and enable two-factor authentication if available. We are not liable for losses resulting from compromised credentials due to your negligence.

4. Music Rights and Ownership

By uploading music to our platform, you represent and warrant that you own all necessary rights to the content or have obtained proper authorization to distribute it. This includes master recording rights, composition rights, sample clearances, and permissions from all featured artists and contributors. Your content must not infringe on any copyright, trademark, or other intellectual property rights, and must not contain defamatory, obscene, or illegal material.

You grant Aiming Records a non-exclusive, worldwide license to distribute your music to digital streaming platforms, reproduce and transmit your music as necessary for distribution, collect and remit royalties on your behalf, and use your artist name and biographical information for distribution purposes.

You retain full ownership of your master recordings. This agreement does not transfer ownership to Aiming Records. We reserve the right to request proof of rights ownership at any time and may suspend distribution or withhold royalties if rights cannot be verified.

5. Distribution Services

Service Overview: We provide music distribution to major digital streaming platforms including Spotify, Apple Music, Amazon Music, YouTube Music, Tidal, Deezer, and 150+ other stores and streaming services worldwide.

Release Delivery Requirements:

  • File Formats: Audio must be submitted in WAV or FLAC format, minimum 16-bit/44.1kHz. We strongly recommend 24-bit/48kHz or higher for optimal quality. We do not accept MP3, AAC, or other lossy formats for distribution. Files must not contain DRM or copy protection.
  • Audio Quality Standards: Audio files must meet professional quality standards. We reserve the right to reject releases with: excessive clipping or distortion, poor mixing or mastering, inaudible or silent tracks, watermarks or audio logos, poor recording quality, or files that do not match industry technical standards.
  • Metadata: You must provide complete and accurate metadata including track titles, artist names, album title, genre, release date, copyright information, and cover artwork (minimum 3000x3000px, RGB color space, JPG/PNG). Metadata must comply with platform requirements and cannot contain: URLs, email addresses, excessive punctuation, misleading information, or promotional language.
  • Artwork Requirements: Cover artwork must be original, properly licensed, or royalty-free. You may not use: copyrighted images without permission, celebrity photos or likenesses, logos or trademarks, pornographic or excessively violent imagery, misleading or false information, or artwork that violates platform content policies.
  • Delivery Timeline: Releases typically go live within 3-7 business days after approval. We recommend submitting at least 2 weeks before your desired release date. Rush releases or guaranteed release dates are not available unless explicitly agreed in writing.
  • ISRC & UPC Codes: We automatically generate and assign ISRC codes (for tracks) and UPC/EAN codes (for releases) at no cost. You may provide your own codes if you have them, but you warrant that codes are valid, unused, and properly registered to you. Duplicate or invalid codes will cause release rejection.

Content Review & Approval: All submissions are subject to review for quality, rights verification, and platform policy compliance. We reserve the right to:

  • Reject releases that do not meet technical or content standards
  • Request additional documentation or revisions before approval
  • Delay distribution pending verification of rights or identity
  • Refuse service for any reason at our discretion

What We Do NOT Guarantee:

  • Acceptance by any specific streaming platform (platforms make their own editorial decisions)
  • Exact release dates (delays may occur due to platform processing times)
  • Editorial playlist placement or algorithmic recommendations
  • Any particular level of streams, downloads, or revenue
  • Availability on all platforms at the same time (different platforms have different processing speeds)
  • Maintenance of content on platforms indefinitely (platforms may remove content at their discretion)
  • Specific chart positions or sales rankings

Best Endeavours: We will use reasonable efforts to deliver your content to platforms, but we are not liable for third-party platform failures, technical issues, or rejection by platforms. Platforms may reject, remove, or restrict content at any time based on their own policies, and we have no control over these decisions.

Platform Compliance: You must comply with all policies and terms of service of streaming platforms. Platform policy violations may result in content removal, account suspension, or other penalties imposed by the platform. We are not responsible for platform policy enforcement actions. You agree to indemnify us for any claims arising from your platform policy violations.

6. Royalties and Payments

Your individual contract specifies the revenue sharing percentage. We only pay out earnings actually received from streaming platforms and stores. Payments are calculated on a net basis after deducting platform fees, payment processing costs, and any applicable withholding taxes.

Royalties are paid according to the schedule specified in your contract. Platform royalties are typically reported 2-3 months in arrears. A minimum payment threshold may apply. You are responsible for providing accurate payment information and for reporting earnings and paying applicable taxes in your jurisdiction.

Platform reports may be revised retrospectively due to fraudulent streams, refunds, chargebacks, or reporting errors. We reserve the right to adjust future payments accordingly. Royalty statements are provided for information purposes only and may not reflect final figures.

7. Streaming Fraud & Artificial Streaming

Strictly Prohibited: The following activities constitute streaming fraud and are grounds for immediate account termination and forfeiture of all earnings:

  • Using bots, click farms, or automated tools to generate artificial streams or downloads
  • Purchasing fake streams, plays, or followers from third-party services
  • Stream manipulation schemes including playlist manipulation or coordinated inauthentic activity
  • Creating multiple accounts to artificially inflate play counts
  • Encouraging or incentivizing others to repeatedly stream your content artificially

Platform Penalties: Streaming platforms actively detect and penalize fraudulent activity. Consequences include: content removal, account suspension, withholding of all royalties (past and future), and potential legal action. We are obligated to cooperate with platforms investigating fraud.

Account Freezing: If we suspect fraudulent activity, we reserve the right to freeze your account and all associated earnings pending investigation. If fraud is confirmed, all service fees paid and any accumulated royalties will be forfeited.

8. YouTube Content ID

Monetization Service: We offer YouTube Content ID services to protect and monetize your music across YouTube. This service:

  • Automatically detects uses of your music in YouTube videos
  • Allows you to monetize videos containing your music (ads run on videos, you earn revenue)
  • Protects against unauthorized use of your recordings
  • Generates additional revenue from user-generated content

Important: Content ID may cause claims on videos you uploaded yourself or authorized uses. You can whitelist your own channels and release claims on authorized uses through your dashboard.

Limitations: Content ID is not foolproof. Some uses may not be detected, and false claims may occur. We process disputes and release claims as quickly as possible.

9. Territory & Language Restrictions

Worldwide Distribution: By default, your music is distributed to all available territories worldwide. You may request territory exclusions if you have existing agreements in specific regions.

Sanctioned Countries: We cannot distribute music to countries under UK or international sanctions (currently including North Korea, Iran, Syria, and others as determined by UK law).

Metadata Language: Metadata must be provided in English or include English translations. Some platforms require romanized versions of non-Latin scripts.

10. Prohibited Content and Conduct

You may not upload or distribute content that:

  • Infringes on intellectual property rights
  • Contains hate speech, violence, or illegal content
  • Violates any laws or regulations
  • Contains malware or harmful code
  • Impersonates another person or entity
  • Is misleading or fraudulent

11. Security and Platform Abuse

You may not attempt to hack, breach, or gain unauthorized access to our systems. You may not exploit security vulnerabilities, use automated tools or bots to manipulate our platform, reverse-engineer our software, or interfere with the platform's normal operation. You may not access other users' accounts or data without authorization.

If you discover a security vulnerability, you must report it to [email protected] and must not exploit it or disclose it publicly. Unauthorized access or exploitation may result in account termination, forfeiture of earnings, and legal action under applicable laws including the UK Computer Misuse Act 1990.

12. Content Removal and Account Termination

We reserve the right to remove content that violates these Terms or platform guidelines, suspend or terminate accounts for fraudulent activity, copyright infringement, or Terms violations, take down content in response to valid DMCA notices or legal requests, and refuse service at our discretion.

You may request takedown at any time. Upon termination or takedown request, we will instruct platform partners to remove your content, typically within 30 days, though we cannot guarantee immediate removal. Service fees are non-refundable. If we terminate your account for Terms violations, we may withhold unpaid royalties as liquidated damages.

13. Intellectual Property

All content on our platform, including logos, design, text, and software, is owned by Aiming Records (Dopuu Ltd) or our licensors. You may not use our intellectual property without permission.

14. Disclaimers and Limitations of Liability

Service Disclaimer: Our services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Guarantees of uninterrupted, timely, secure, or error-free service
  • Guarantees regarding the accuracy or reliability of streaming platform reports
  • Guarantees of specific revenue amounts or streaming numbers

Limitation of Liability: To the fullest extent permitted by UK law:

  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities
  • Our total aggregate liability for all claims is limited to the greater of: (a) the amount you paid us in the 12 months prior to the claim, or (b) £100
  • We are not responsible for: (a) actions, policies, or payment practices of third-party streaming platforms, (b) platform takedowns or content removal, (c) delays in royalty reporting by platforms, (d) currency exchange rate fluctuations, or (e) payment processing fees
  • We are not liable for losses resulting from: unauthorized access to your account, your failure to comply with these Terms, or your violation of third-party rights

Note: Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under UK law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Aiming Records (Dopuu Ltd), its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of our distribution services
  • Your violation of these Terms or any applicable laws
  • Your infringement of any intellectual property rights or other rights of third parties
  • Content you upload, distribute, or claim ownership of
  • Claims from streaming platforms or other third parties arising from your content
  • Fraudulent or manipulative streaming activity on your behalf

16. Metadata Accuracy

Accuracy Requirement: All metadata you provide must be accurate and truthful. Metadata includes artist names, track titles, album titles, genre classifications, release dates, copyright information, ISRC/UPC codes, featured artists, songwriters, producers, and album artwork.

Prohibited Metadata Practices: You may not use misleading artist names, include promotional text or URLs in titles, misrepresent release dates, claim false collaborations, use copyrighted or trademarked names without authorization, add SEO spam to metadata fields, or use artwork that infringes intellectual property rights.

Metadata Verification: We reserve the right to verify all metadata at any time and, in our sole discretion, may require corrections, suspend distribution, or terminate accounts for metadata violations. Streaming platforms may also impose their own penalties for metadata violations, which are beyond our control.

17. Contract Term and Termination

Your distribution contract begins upon acceptance and continues for the term specified in your individual agreement. Unless otherwise specified, contracts automatically renew unless either party provides 30 days written notice of termination. You may terminate this agreement with written notice, subject to paying any outstanding fees. We may terminate your account immediately for Terms violations, fraud, false information, or at our sole discretion.

Upon termination, content will be taken down within 30 days, you will lose account access, and royalties will continue to be collected and remitted for up to 90 days post-termination. If terminated for cause, unpaid royalties may be forfeited. Sections relating to payment obligations, indemnification, and liability limitations survive termination.

18. Confidentiality

Both parties agree to keep confidential all non-public information disclosed during the term of this agreement. Confidential information may be disclosed to streaming platforms, payment processors, tax authorities as required by law, or in response to court orders. You agree not to disclose our proprietary systems or use information learned through our service to compete with us.

19. Data Usage and Privacy

By using our services, you consent to our collection, use, and sharing of your data as outlined in our Privacy Policy. This includes:

  • Sharing your music and metadata with streaming platforms
  • Collecting analytics data from platforms about your content performance
  • Sharing your payment and tax information with financial institutions
  • Using anonymized data for industry reporting and analysis
  • Sharing information with rights management organizations (PPL, SoundExchange, etc.)

Data Retention: We retain your data for 7 years after account termination for legal, tax, and accounting compliance. You may request data deletion after this period, subject to legal retention requirements.

20. Account Suspension

We may suspend your account without terminating it pending investigation of fraud, Terms violations, unresolved payment disputes, identity verification issues, or rights disputes. During suspension, you cannot upload new content and royalty payments are frozen. We reserve the right to refuse reinstatement at our sole discretion.

21. Breach of Contract

Material breaches of this agreement include uploading content you do not own, engaging in streaming fraud, providing false information, violating platform policies, creating unauthorized multiple accounts, or sharing account access. We reserve the right to pursue damages, seek injunctive relief, report fraudulent activity, and recover legal fees and collection costs.

22. Assignment and Transfer

You may not assign or transfer your rights under this agreement without our prior written consent. We may assign this agreement to any successor or acquirer of our business. Account transfer requests are subject to our approval and verification requirements.

23. Waiver and Remedies

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Waiver of any breach does not constitute waiver of any subsequent breach.

All remedies available under these Terms are cumulative and not exclusive. We may pursue any or all available remedies simultaneously or sequentially.

24. Notices

We may provide notices to you by email, in-platform notifications, or postal mail to your registered address. All notices to us must be sent in writing to 85 Great Portland St, London W1W 7LT, UK or [email protected]. You are responsible for maintaining current contact information.

25. Electronic Signatures and Records

You agree that electronic signatures, click-through acceptance, and electronic records have the same legal effect as physical signatures and paper records. Your acceptance of these Terms by clicking "I Agree" or by using our services constitutes a legally binding electronic signature.

26. Changes to Terms

We may modify these Terms at any time. We will notify you of significant changes via email or platform notice. Your continued use of our services after changes indicates acceptance of the new Terms.

27. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

You agree that any disputes arising from or relating to these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of England and Wales. However, we retain the right to bring proceedings in your country of residence.

28. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions will remain in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

29. Entire Agreement

These Terms, along with our Privacy Policy, Cookie Policy, and any individual distribution agreement you sign, constitute the entire agreement between you and Aiming Records (Dopuu Ltd) regarding our services. In the event of conflict between these Terms and your individual contract, the individual contract prevails.

30. Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, pandemic, civil unrest, government actions or restrictions, strikes, labor disputes, internet service provider failures, cyberattacks, or streaming platform outages.
